Well - I found the same problem as you (I run Win2000 as well) - and I found that if you install the usb device drivers when win2000 asks for them off the cd, that's ok. As far as the vx200 manager software goes, I installed it on a friend's win98 pc, then manually copied the program folder (c:\program files\vx200) to my win2000 pc... and it worked!
Not a great solution I know, but it works - but with one bug, if there are no files on the player, then the software will hang, so make sure there is at least one file on it - if needed make a short temporary voice recording)... I know u posted the problem a while ago, but I hope this is still of use....
