Put the XP CD in the drive, change the BIOS to boot from CD and follow your nose, it will create, delete, format(NTFS or FAT32)for you and then reboot and install.Use the menu to simply delete the W2K partiton, XP will ask if you want to use this space to install in and create its partition giving the option to format in NTFS or FAT32 (you will already know NTFS is the better of the two) and finally Yes you are right XP setup will ask for a qualifying product and your Win 98 CD will do nicely, its probably the easiest OS install you will come across.
