You didn't mention your operating system so I'm assuming win98 or later, NOT winNT or related. If you are using win95 or earlier - forget using the 40GB HDD. The message suggests that the drive has been used elsewhere.

TRY to work in DOS Real Mode using DOS98 or later. Make a bootable floppy disk with win98 or later and copy fdisk, format and scandisk to the floppy. Boot to the floppy and run fdisk and inspect the partitions (IF any), DELETE all of the existing partitions, make a new one(s), format the partition(s) and finally run scandisk and perform a surface scan.
