Disable any 16 bit real mode drivers in your autoexec.bat and config.sys, if your not sure which to stop loading(untick the boxes in 'msconfig')then clear all of them you dont need either of these files for 98 or above.
Windows should then be able to use the 32 bit drivers in its system folder, make sure you dont need a specific motherboard or bus master driver that is missing.
