Seems like w2k is pretty picky about the BIOS and more. Suggest that you search the microsoft knowledge base for compatibility issues with w2k - here are a couple of articles to get you started:

If you decide go with NTFS I STRONGLY recommend that you CLONE your system to a small HDD as soon as you get it running - and store the clone in a safe place (like a bank vault). Reason: If you are a standalone operation (home pc) you will need the OS on another HDD or another operating NTFS PC if you need to make HDD fixes on your main drive (like work around a bad sector in the midst of the swapfile/pagefile - try that with just one [previously] bootable HDD).
